1. Order Policy
All products are made-to-order based on buyer specifications.
- Minimum Order Quantity (MOQ): 500 yards per color/style unless otherwise agreed in writing.
- Orders become final and binding upon written confirmation, payment, or production start, whichever occurs first.
- No cancellations, changes, or reductions are permitted after confirmation.
By placing an order, Buyer acknowledges that goods are produced specifically for Buyer’s request and may not be resold by Seller.
2. Payment Terms
- Standard terms: 30% deposit and 70% balance prior to shipment unless otherwise agreed in writing.
- Seller retains ownership of goods until full payment is received.
- Late payments may incur a service charge of 1.5% per month (18% annually).
Buyer agrees to be responsible for collection costs, attorney fees where permitted by law, and court costs.
Failure to pay may result in shipment holds, order cancellation, and legal action.
3. Final Sale & Return Policy
Due to the custom, made-to-order nature of all products:
- All sales are final.
- No returns or refunds will be accepted for unused goods, overstock, incorrect ordering by Buyer, or change of mind.
Claims for manufacturing defects must:
- Be reported within seven (7) calendar days of delivery.
- Include photo or video evidence.
- Involve goods that remain unused, uncut, unwashed, and unaltered.
Failure to meet these requirements may result in claim denial.
4. Inspection & Acceptance
Buyer must inspect all goods within seven (7) days of delivery.
- Failure to report issues within this period constitutes full acceptance of goods.
- Any cutting, washing, processing, or use of fabric constitutes acceptance of the goods.
After acceptance, no claims will be honored.
5. Quality & Color Disclaimer
Textile production inherently includes reasonable variations.
The following are not considered defects:
- Dye lot variation
- Minor color or shade differences
- Texture or weight variation
- Differences between sample and bulk production
- Differences among printing methods
All samples, swatches, headers, and sample yardage are provided for reference purposes only.
6. Shipping, Risk & Delivery
- All ETD and ETA dates are estimates only.
- Seller is not responsible for delays caused by carriers, vessel schedules, port congestion, customs clearance, or events beyond Seller’s control.
Risk of loss transfers to Buyer upon shipment.
Freight charges are non-refundable.
7. Production & Lead Time
Production timelines vary depending on fabric type, printing method, finishing process, raw material availability, factory scheduling, and logistics conditions.
All timelines are estimates and are not guaranteed.
8. Limitation of Liability
Seller’s liability is limited solely to replacement or credit of defective goods.
Seller shall not be liable for:
- Loss of profits
- Production delays
- Business interruption
- Indirect, incidental, or consequential damages
9. Chargeback & Payment Disputes
Buyer agrees not to initiate chargebacks except in cases of unauthorized transactions or verified non-delivery.
Buyer acknowledges that:
- Goods are made-to-order.
- Goods are non-returnable.
- Buyer must first contact Seller to resolve disputes before filing a payment dispute.
Improper chargebacks may constitute breach of agreement.
Buyer agrees to be responsible for the invoice amount, chargeback fees, administrative costs, legal fees, and collection costs resulting from improper disputes.
10. Governing Law
By placing a Purchase Order (PO), making payment, or confirming production, Buyer agrees to these Terms and Conditions.
These Terms and Conditions shall be governed by and construed under the laws of the State of California.
11. Invoice Terms Notice
The following notice may appear on Seller invoices, quotations, order confirmations, and related documents:
“All goods are made-to-order. No cancellations or returns. Claims must be reported within seven (7) days of delivery. Full Terms & Conditions available at heetextile.com/sales-terms-conditions.”
Buyer acknowledges that invoices, quotations, order confirmations, and related transaction documents may reference these Terms & Conditions, which are incorporated herein by reference.
